These Terms of Service ("Terms") govern your use of the ScribbleDAO website and any related services (collectively, the "Services"). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to use our Services. By using the Services, you represent and warrant that you meet these requirements.

2. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • Violate any applicable laws or regulations.

  • Interfere with or disrupt the security or functionality of the Services.

  • Use automated scripts, bots, or data scraping tools without our permission.

  • Engage in fraudulent, deceptive, or harmful activities.

If you submit, post, or share content on ScribbleDAO, you grant us a worldwide, non-exclusive, royalty-free license to use, modify, distribute, and display that content in connection with our Services. You represent and warrant that you own or have the necessary rights to provide such content.

All content, trademarks, logos, and other intellectual property on the Services are owned by ScribbleDAO or its licensors. You may not copy, modify, distribute, or otherwise use our intellectual property without prior written consent.

5. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

6. Disclaimers & Limitation of Liability

  • The Services are provided "as is" without warranties of any kind, whether express or implied.

  • ScribbleDAO is not responsible for any damages, losses, or liabilities resulting from your use of the Services.

  • We do not guarantee the accuracy, reliability, or availability of the Services at all times.

We may suspend or terminate your access to the Services at any time for violations of these Terms or other reasons without prior notice.

We may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the new Terms.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of Panama. Any disputes arising from these Terms will be resolved through arbitration at the Center for Conciliation and Arbitration of Panama (CeCAP) or the appropriate courts in Panama.

10. Indemnification

You agree to indemnify, defend, and hold harmless ScribbleDAO, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Services, violation of these Terms, or infringement of any rights of another party.

11. Creator Platform and Tokenization of Content

ScribbleDAO provides a platform where content creators may post or import their pre-posted content from social media platforms such as X (formerly Twitter), Instagram, YouTube, and others. Through ScribbleDAO, creators can tokenize their journey, content, and engagement history, allowing them to transform their creative output into digital assets.

Creators acknowledge that ScribbleDAO only facilitates the tokenization and display of such content and does not claim ownership over any user-generated material. The responsibility for ensuring the originality, authenticity, and copyright compliance of all submitted or imported content lies solely with the creator. ScribbleDAO assumes no liability for any copyright violations, intellectual property disputes, or other legal issues arising from the content provided by creators.

12. User Consent to Coin Content

By submitting or importing content to ScribbleDAO, you expressly consent to the minting, tokenization, or creation of digital assets ("coining") based on that content. You grant ScribbleDAO a non-exclusive, worldwide, royalty-free right to perform technical operations necessary to enable such coining within the platform. This consent includes display, distribution, and resale of tokenized content as enabled by platform functionality.

You acknowledge and agree that once content has been tokenized or minted, it may not be possible to fully delete or reverse such actions due to the immutable nature of blockchain technology.

13. Third-Party Links & Services

Our Services may contain links to third-party websites or services that are not owned or controlled by ScribbleDAO. We are not responsible for the content, policies, or practices of any third-party websites or services.

14. Service Availability

We do not guarantee that the Services will always be available, error-free, or uninterrupted. We may modify, suspend, or discontinue parts or all of the Services at any time without notice.

15. Force Majeure

ScribbleDAO shall not be held liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, government actions, network failures, or cyberattacks.

16. Waiver & Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable. Failure to enforce any right or provision of these Terms does not constitute a waiver of that right.

17. Prohibited Activities

You agree not to engage in any activity that:

  • Impersonates any person or entity, or misrepresents your affiliation.

  • Attempts to gain unauthorized access to our systems or user data.

  • Harms, exploits, or endangers minors in any way.

  • Distributes viruses, malware, or any other malicious software.

18. No Financial Advice

The content provided on ScribbleDAO does not constitute financial, investment, or legal advice. You acknowledge that any decisions made based on the information found on our Services are at your own risk.

19. Community Guidelines

Users are expected to engage respectfully with others within the ScribbleDAO community. Harassment, hate speech, or any form of abusive behavior will not be tolerated and may result in account suspension or termination.

20. Survival

Any provisions of these Terms that by their nature should survive termination will continue in effect, including but not limited to intellectual property rights, indemnification, and disclaimers.

21. Assignment

You may not assign or transfer your rights and obligations under these Terms without our prior written consent. ScribbleDAO may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
